Co-employment is the contractual arrangement between the client (worksite employer) and the PEO that allows the PEO to provide a wide range of services and to transfer or share many of the liabilities of employment. The PEO and the Client are responsible for certain employment obligations and each share other obligations. The worksite employee becomes an employee of two employers: the client retains supervision for the production and delivery of products and/or services, and the PEO assumes responsibility for the human resources and personnel services.

Employee leasing was designed to attempt to transfer some responsibility from the client to an employee leasing company. This created a concept of an employer firing their employee, to have them rehired by the leasing company and then leased to the original employer. In the PEO arrangement, this does not occur. The employee gains the PEO as a co-employer while remaining employed by the original employer in a PEO arrangement.

A temporary staffing service recruits employees and then assigns them to clients to support or supplement the client's workforce. A PEO contractually assumes and manages employer responsibilities for all or a majority of the client's workforce.
PEOs assume responsibility and liability for payment of wages and compliance with all rules and regulations governing the reporting and payment of federal and state taxes on wages paid to its employees. PEOs become responsible for the payment of state unemployment taxes. They are also responsible for the workers' compensation coverage.

Additionally, PEOs provide employees with coverage under the entire spectrum of employment laws and regulations, including federal, state, and local discrimination laws, Title VII of the 1964 Civil Rights Act, Age Discrimination in Employment Act, ADA, FMLA, HIPPA, Equal Pay Act, and COBRA. Once included in the PEOs workforce, these laws protect the workers.
